These Terms govern access to and use of the DelayFree logistics marketplace, including customer ordering flows, delivery agent operations, delivery firm participation, and related platform services.

Introduction & Acceptance of Terms
Welcome to DelayFree. These Terms of Service apply when you access or use the DelayFree platform through our web portal, mobile applications, or related services.
By creating an account, placing an order, registering as a delivery agent, applying as a delivery firm, or otherwise using the platform, you agree to be bound by these Terms. If you do not agree, you must not use the service.
Nature of the Platform — Marketplace Disclaimer
DelayFree is a technology marketplace that connects customers with independent delivery agents and delivery firms. DelayFree facilitates discovery, coordination, payments, and platform operations, but does not automatically become a principal party to every underlying delivery arrangement.
Delivery agents and delivery firms remain responsible for the services they perform on the platform. DelayFree may enforce safety, compliance, and operational standards, but acts primarily as a platform operator and facilitator unless expressly stated otherwise.
Account Registration & Eligibility
3.1 All Users
- Be at least 18 years old or otherwise legally capable of using the platform in your jurisdiction.
- Provide accurate, current, and complete information during registration and while using the service.
- Protect your login credentials and keep your account secure.
- Use the platform only for lawful and legitimate activity.
3.2 Customers
- Customers must provide accurate pickup, delivery, and contact details when placing an order.
- Customers are responsible for ensuring the recipient can receive the order at the stated delivery location.
3.3 Delivery Agents
- Delivery agents must successfully complete DelayFree KYC and verification before being activated on the platform.
- Agents must maintain valid identity and operational documents, comply with transport and safety laws, and use only authorised vehicles or conveyances.
- Agents are responsible for safe handling, professional conduct, and timely updates during deliveries.
3.4 Delivery Firms
- Delivery firms must be legally registered where required and provide accurate business records, contact details, and operational information.
- Firms are responsible for ensuring that riders or agents operating under them meet applicable legal, safety, and platform standards.
- DelayFree may request CAC, tax, address, licensing, or related compliance documentation before activation or continued access.
KYC Verification
- Submission of KYC documents is a condition of account activation for relevant users and business entities.
- DelayFree may request identity documents, bank details, address information, vehicle documents, or additional supporting records.
- KYC approval is not automatic and may be refused, suspended, or reviewed where documents appear false, incomplete, inconsistent, expired, or otherwise unreliable.
- You authorise DelayFree to review submitted information for compliance, platform safety, anti-fraud controls, and regulatory obligations.
Platform Use & Conduct
- Do not misuse the platform, interfere with its operations, or attempt unauthorised access to any account, service, or system.
- Do not submit false information, impersonate another person, or operate duplicate or deceptive accounts without written approval.
- Do not use the platform for abusive, fraudulent, harmful, discriminatory, or unlawful conduct.
- Comply with all applicable laws, platform instructions, safety standards, and service requirements when using DelayFree.
Delivery Services
6.1 Order Process
- A customer delivery request is dispatched to an available agent or delivery firm based on availability, service logic, or assignment rules on the platform.
- Once a delivery is accepted, the assigned service provider is expected to perform the delivery responsibly and communicate material issues promptly.
6.2 Delivery Timelines
- Estimated delivery timelines are indicative only and may be affected by traffic, weather, route conditions, recipient availability, operational constraints, or events outside DelayFree’s control.
- DelayFree does not guarantee exact delivery times unless a specific service level is expressly stated for a service type.
6.3 Package Condition and Responsibility
- Customers must ensure that items are properly packaged and lawful to transport.
- Delivery agents and firms must handle packages with reasonable care during active delivery sessions.
- DelayFree is not responsible for hidden defects, insufficient packaging, or damage arising from prohibited contents, inaccurate descriptions, or customer-side preparation failures.
6.4 Delivery Confirmation
- A delivery may be marked complete after successful handover, verification, or other platform-approved completion signals.
- Disputes about delivery completion may be reviewed using platform records, communications, timestamps, or other available evidence.
Payments & Fees
- Customers agree to pay all applicable delivery fees, platform fees, taxes, and approved surcharges shown before or at the point of order.
- DelayFree may use third-party payment providers to process transactions and does not store raw card details where tokenised or processor-hosted alternatives apply.
- Delivery agent and firm earnings may be subject to applicable commissions, fees, compliance checks, disputes, refunds, or fraud review before payout.
- Where payment errors occur, DelayFree may correct pricing, settlement, wallet, or transaction records as reasonably necessary.
Prohibited Items
The following categories of items are strictly prohibited on the platform unless expressly authorised by law and accepted by the platform under a controlled process:
- Illegal goods, stolen property, or fraudulent items
- Weapons, explosives, dangerous materials, or controlled substances unless lawfully authorised and approved where applicable
- Counterfeit, restricted, or prohibited items under applicable law or platform policy
- Any package that exposes users, agents, firms, or the platform to unreasonable safety, legal, or reputational risk
Ratings & Reviews
- Customers may rate and review completed deliveries.
- Ratings and reviews should be fair, honest, and based on real delivery experiences.
- DelayFree may remove or moderate abusive, fraudulent, misleading, defamatory, or policy-violating reviews or reports.
Dispute Resolution
- Users should first report issues through the platform or support channels so that operational resolution can be attempted quickly.
- DelayFree may review disputes using order records, communications, location events, verification data, timestamps, or other relevant platform evidence.
- Where a dispute cannot be resolved internally, further action may proceed subject to applicable law and the governing law clause below.
Limitation of Liability
- DelayFree operates as a technology marketplace and facilitator, and except where law requires otherwise, does not assume liability for all acts or omissions of independent delivery agents, firms, customers, or third parties.
- DelayFree is not liable for delays, losses, missed deliveries, or damage arising from inaccurate order information, prohibited items, external events, or failures beyond our reasonable control.
- While we are not legally liable for the items above, we will investigate any reported issue with a delivery,Assist you in contacting the delivery partner and resolving disputes, and Suspend or remove partners with repeated complaints.
- Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
Indemnification
- You agree to indemnify and hold harmless DelayFree, its affiliates, directors, officers, employees, and authorised representatives from claims, losses, liabilities, costs, or expenses arising from your misuse of the platform, breach of these Terms, unlawful conduct, or rights violations.
Intellectual Property
- All platform branding, software, designs, content, workflows, names, marks, and related intellectual property remain the property of DelayFree or its licensors.
- No rights are granted to reproduce, reverse engineer, distribute, or commercially exploit platform assets except as expressly permitted in writing.
Account Suspension & Termination
- Users may stop using the platform at any time, subject to any unresolved transactions, legal obligations, or continuing operational matters.
- DelayFree may suspend, restrict, or terminate access where there is fraud, safety risk, abuse, repeated complaints, KYC failure, legal exposure, policy breach, or other conduct that threatens the integrity of the platform.
- Urgent suspensions may occur without prior notice where immediate action is reasonably necessary to protect users, regulators, or the platform.
Modifications to the Platform and Terms
- DelayFree may update the platform, its features, pricing logic, workflows, or these Terms from time to time.
- Where required, material updates will be communicated through the website, app, email, or another appropriate notice channel.
- Continued use of the platform after an update takes effect constitutes acceptance of the revised Terms.
Third-Party Links and Services
- The platform may integrate with third-party services including payment providers, mapping services, SMS vendors, cloud providers, verification providers, and analytics tools.
- DelayFree is not responsible for third-party service availability, content, or policies except to the extent required by law or by our direct contractual obligations.
Force Majeure
- DelayFree is not liable for delay or failure caused by events beyond its reasonable control, including system outages, network disruption, civil unrest, weather conditions, labour disputes, government action, or failures of third-party infrastructure.
Severability
- If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with any policies, notices, or specific service conditions incorporated by reference, form the entire agreement between you and DelayFree in relation to the use of the platform, unless a separate written agreement applies.
Governing Law & Jurisdiction
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any dispute arising out of or connected with the platform or these Terms is subject to the jurisdiction of competent courts in Nigeria, unless another forum is required by applicable law.
